The Annotated Ordinances of Hong Kong: Limited Partnership Fund Ordinance (Cap. 637) is authored by Willa Chan, our Founding Principal. This is the first edition of this title and was published in January 2023 following the enactment of the Limited Partnership Fund Ordinance (Cap 637) on 31 August 2020. Although the Limited Partnership Fund (“LPF”) Ordinance is relatively new, it is an important piece of legislation for the fund and fund management sector.

This annotation aims to set forth, section-by-section, the policy intent and background of the key provisions, some comparison with other popular fund domiciles, the interplay between certain provisions in the LPF Ordinance as well as other Hong Kong Ordinances that commonly affect the fund management sector, including the Securities and Futures Ordinance (Cap 571) and other legislation that governs partnerships in general.
